These Terms and Conditions (“Terms”) govern use of the TM-REGISTER website, Trademark Registration Assessment, passwordless customer portal, renewal-assistance workflow, monitoring services, attorney products, data services, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1. Who We Are

TM-REGISTER is a trademark-data, workflow, monitoring, and automated assessment platform. TM-REGISTER is not a law firm, does not provide legal advice, and does not create an attorney-client relationship. When we connect a user with an independent attorney or law firm, any legal representation is governed solely by that provider’s separate engagement agreement.

2. Eligibility and Authority

You must be at least 18 years old and legally able to enter contracts. When using the Services for a company, client, or other person, you represent that you have authority to submit the information and accept these Terms on their behalf.

Unless otherwise stated, one assessment credit covers one proposed word mark in one International Class. The assessment uses information you submit, selected USPTO records, automated rules, and AI-assisted analysis to generate a preliminary informational report.

5. AI and Automated Output

AI and automated systems can produce incomplete, inaccurate, inconsistent, or outdated results. Scores, classifications, conflict rankings, explanations, and probability estimates are decision-support tools only. You are responsible for independently reviewing the report and obtaining qualified legal advice before filing, adopting, enforcing, licensing, investing in, or relying on a trademark.

Do not submit trade secrets, privileged communications, highly sensitive personal information, or information you are not authorized to disclose. You authorize TM-REGISTER and its service providers to process submitted information as necessary to provide, secure, troubleshoot, and improve the Services, subject to the Privacy Policy.

6. Credits, Purchases, and Delivery

Assessment credits are associated with the customer account and are intended for use through the authorized TM-REGISTER access workflow. Credits may not be resold, transferred, duplicated, or used to bypass applicable limits without written permission. A credit is consumed when an assessment request is submitted.

If TM-REGISTER permanently cannot process a valid request because of a system failure, we may restore the credit, retry the request, or provide another reasonable remedy. Credits are not a promise that a particular output, conclusion, registration result, or attorney response will occur.

7. Renewal Assistance

A renewal-assistance submission authorizes TM-REGISTER to process the request and, where applicable, share the submitted information with an independent attorney or law firm. TM-REGISTER does not guarantee that a provider will accept the matter, contact the user by a particular time, meet a deadline, or achieve a legal result. Users remain responsible for official deadlines unless an attorney expressly agrees otherwise in writing.

8. Attorney and Data Services

Attorney subscriptions, exports, lead files, reports, and optional mailing or fulfillment services are provided according to the applicable order, product page, or separate agreement. Attorneys and law firms are solely responsible for determining whether and how they may use owner information, reports, and outreach materials in compliance with professional-responsibility, solicitation, advertising, privacy, consumer-protection, and other laws.

Unless expressly authorized, data products are licensed for the subscriber’s internal business use and may not be publicly redistributed, sublicensed, resold, or used to create a competing database or service.

9. Monitoring and Alerts

Monitoring and alerts depend on source data, matching rules, schedules, connectivity, and third-party systems. Alerts may be delayed, incomplete, or unavailable. Monitoring does not create a duty to identify every event, conflict, deadline, infringement, or legal issue, and users remain responsible for professional docketing and review.

10. Accounts and Passwordless Links

You are responsible for maintaining control of your email account, browser session, and one-time access links. Do not forward secure links or permit unauthorized access. Notify us promptly if you believe an account or link has been compromised. We may expire sessions, revoke links, or restrict access to protect the Services.

11. Payments, Subscriptions, Refunds, and Taxes

Payments are processed by third-party providers. Pricing, quantity, billing frequency, and included services are shown at checkout or in the applicable order. Recurring subscriptions continue until cancelled under the payment provider’s process or applicable agreement. Except where required by law or expressly stated, completed digital services, delivered data, used credits, and subscription charges are non-refundable. You are responsible for applicable taxes, fees, and accurate billing information.

12. Intellectual Property and User Content

TM-REGISTER owns or licenses its name, logo, website, software, report templates, workflows, data organization, and proprietary materials. Subject to these Terms, you receive a limited, non-exclusive, non-transferable license to use purchased outputs for your own personal, client-service, or internal business purposes.

You retain rights in information you submit. You grant TM-REGISTER a limited right to host, copy, process, format, transmit, and use that information as necessary to provide and administer the Services.

13. Third-Party Services and Public Data

The Services may rely on or link to USPTO systems, PayPal, hosting, email, AI, attorney, and other third-party services. TM-REGISTER does not control their availability, security, content, or policies. USPTO information is public-source data and may contain errors, omissions, delays, or later changes. TM-REGISTER is a private service and is not affiliated with, endorsed by, or sponsored by the United States Patent and Trademark Office.

14. Suspension and Termination

We may suspend, limit, or terminate access when reasonably necessary to address nonpayment, misuse, security risk, legal requirements, suspected fraud, prohibited conduct, or material breach of these Terms. Provisions that by their nature should survive termination will remain effective.

15. Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, TM-REGISTER disclaims express and implied warranties, including merchantability, fitness for a particular purpose, title, accuracy, availability, and non-infringement. We do not warrant uninterrupted operation, complete data, error-free output, successful delivery, attorney acceptance, or any legal or registration result.

16. Limitation of Liability

To the maximum extent permitted by law, TM-REGISTER and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or opportunities; missed deadlines; filing decisions; branding costs; or reliance on automated output. Our aggregate liability arising from the Services will not exceed the amount paid to TM-REGISTER for the specific Service giving rise to the claim during the six months before the event, or $100 if no amount was paid.

17. Indemnification

You agree to defend, indemnify, and hold harmless TM-REGISTER from claims, losses, liabilities, damages, and reasonable expenses arising from your submitted information, use or misuse of the Services, violation of these Terms, unlawful outreach, or infringement of another person’s rights.

18. Changes to Services and Terms

We may modify, suspend, or discontinue features and may update these Terms. Material updates will be reflected by changing the “Last updated” date. Continued use after revised Terms become effective constitutes acceptance.

19. Governing Law and Disputes

These Terms are governed by the laws applicable where TM-REGISTER is operated, without regard to conflict-of-law rules, except where another law must apply. Any required venue, arbitration, class-action waiver, or other dispute procedure must be stated in a separate written agreement or an updated version of these Terms reviewed by counsel.
